These Terms of Service govern access to and use of Stratimind’s strategic assessment services and related website, systems, and assessment outputs.

By requesting, purchasing, accessing, or using the service, you agree to these Terms. If you are accessing the service on behalf of a company or organization, you represent that you are authorized to do so.

Stratimind provides an AI-assisted strategic assessment service designed to help users examine consequential business decisions before major commitments are made.

The service covers consequential strategic decisions including, without limitation: market entry, expansion, new product initiatives, strategic capital allocation, acquisitions, partnerships, business model changes, scaling commitments, and strategic pivots.

Depending on the engagement, the service may include an interactive assessment session, structured analytical processing, external evidence analysis, scenario examination, a Strategic Assessment Report, an executive Decision Dashboard, and related review materials.

The service provides structured analysis and decision support. Stratimind does not determine whether you should proceed with a business initiative. The user remains solely responsible for the decision and any actions taken based on the assessment.

Stratimind uses AI-assisted systems as part of its analytical workflow to evaluate thesis assumptions and surface potential failure modes.

AI-generated or AI-assisted analysis may contain errors, omissions, incomplete information, or incorrect interpretations. Assessment outputs should therefore be reviewed in the context of the user's own information, professional judgment, and organizational circumstances.

The service does not create an attorney-client, fiduciary, investment-advisory, or other professional advisory relationship unless expressly agreed in a separate written engagement. Users should obtain appropriate professional advice where required by the circumstances of a decision.

You are responsible for the accuracy, completeness, and appropriateness of the information you provide and for how you use the resulting assessment.

You remain solely responsible for business decisions, investments, commitments, transactions, or other actions taken after receiving an assessment.

Certain Stratimind services require an authorized Engagement Access Key or other authentication mechanism. Access credentials are intended solely for the authorized recipient and should not be shared, transferred, or used by unauthorized persons.

Stratimind reserves the right to revoke or suspend credentials if unauthorized transfer, credential sharing, or misuse is identified.

Where a session is subject to a defined activation period, the applicable session window begins when the authorized session is activated. The standard assessment session is available for up to three hours from activation. Users should complete the assessment within the applicable session period.

Because the analytical environment requires focused engagement, users are advised to begin only when prepared to complete the 60–75 minute diagnostic review in one sitting.

Fees and engagement scope for Stratimind strategic assessments are determined individually based on the nature, scope, and complexity of the decision under review. Engagement terms and fees are agreed upon prior to engagement confirmation.

Payment must be completed through the designated payment method prior to credential provisioning or session access. You are responsible for any applicable taxes or currency charges imposed by your financial institution.

Nothing in these Terms is intended to exclude rights that cannot lawfully be excluded under applicable law.

All intellectual property relating to the Stratimind service, including its methodologies, analytical frameworks, assessment architecture, software, system design, prompts, scoring or assessment logic, report structures, trademarks, and related materials, remains the property of Stratimind or its licensors.

Subject to these Terms, users receive a limited right to use assessment outputs provided to them for their own internal business purposes.

Users may not copy, reproduce, reverse engineer, extract, resell, commercialize, or otherwise exploit the underlying Stratimind methodology, system, prompts, assessment logic, or other proprietary components of the service.

You retain responsibility for information and materials you submit to Stratimind. You represent that you have the right to provide the information you submit and that doing so does not knowingly violate applicable law or the rights of another party.

You are not required to disclose proprietary trade secrets or identifying counterparty labels; the assessment evaluates strategic and commercial logic based on operational parameters provided.

Information submitted through an assessment is handled in accordance with Stratimind’s Privacy Policy and applicable confidentiality commitments.

Stratimind does not sell assessment content or use it for advertising, marketing, or unrelated commercial purposes. Assessment content is not used to train or fine-tune AI models.

Stratimind does not guarantee that an assessment will produce a particular business outcome, investment result, commercial result, or decision.

The purpose of the service is to improve the quality and structure of decision analysis, not to guarantee the outcome of the decision.

Assessment outputs may rely on information provided by the user, publicly available information, third-party information sources, and AI-assisted analysis.

Information may become outdated, incomplete, unavailable, or incorrect. Stratimind does not guarantee that every source or analytical conclusion will be complete, current, or error-free.

The Stratimind service may rely on third-party technology, infrastructure, payment, hosting, research, or other service providers.

Stratimind is not responsible for independent failures or changes in third-party services outside its reasonable control.

Stratimind aims to maintain reliable access to the service but does not guarantee uninterrupted or error-free availability. Access may occasionally be unavailable because of maintenance, technical issues, security measures, infrastructure failures, or circumstances outside Stratimind’s reasonable control.

You agree not to:

• Misuse the service or interfere with its normal operation;
• Attempt unauthorized access to the platform, accounts, or infrastructure;
• Circumvent access controls or share single-user credentials;
• Reverse engineer, decompile, or extract proprietary analytical logic or system prompts;
• Use the service for unlawful purposes or in violation of third-party rights;
• Resell or redistribute unauthorized access to the service.

Stratimind may suspend or terminate access where reasonably necessary to protect the service, prevent misuse, address security concerns, enforce these Terms, or comply with applicable law.

To the maximum extent permitted by applicable law, Stratimind shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or in connection with the use of the service, including loss of profits, revenues, business opportunities, goodwill, or data.

To the maximum extent permitted by applicable law, Stratimind’s total aggregate liability arising out of or relating to any assessment engagement shall not exceed the total fees actually paid by you for the relevant assessment session.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law.

You agree to indemnify, defend, and hold harmless Stratimind and its personnel from and against any claims, liabilities, losses, damages, and reasonable expenses (including reasonable legal fees) arising out of your material breach of these Terms, unlawful use of the platform, or violation of third-party rights.

These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.

Any dispute arising from these Terms shall be resolved through good-faith negotiation in the first instance. In the event that good-faith negotiation fails to resolve a dispute within 30 days, the dispute shall be referred to and finally resolved by binding arbitration in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) Administered Arbitration Rules, with proceedings conducted in English.

For users in the United States: The governing law and arbitration provisions set out above shall apply to the maximum extent permitted by applicable law. Nothing in these provisions limits mandatory statutory rights that cannot be waived by contract.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement: These Terms, together with the Privacy Policy and any written engagement confirmation, constitute the entire agreement between you and Stratimind regarding the service.

Waiver: No failure to exercise any right under these Terms shall operate as a waiver of that right.

Stratimind may update these Terms from time to time to reflect changes to the service or applicable requirements. The updated version will be posted on this page with the revised effective date.
